Both parties agreed following conditions.
I.Types of Services from Franchiser to Franchisee
Services for transferring from Franchiser to Franchisee may include as follows:

II.Franchise Fee and Royalty
- Royalty: 5% of revenues and monthly payment
- Franchise Fee: $3,500
- Yearly Fee After Franchise Fee: $1,500
III.Shared Direct Costs Incurred from Revenue to Franchiser
- Direct Costs may incur because Franchiser providing services on behalf of Franchisee and other franchisees, so for this case, Franchisee and other franchisees will share these direct costs to Franchiser.
- Some direct costs may be subject to some taxes by Cambodia Tax, so these taxes will share among Franchisee and other franchisees to Franchiser.
IV. Costs Incurred from Franchiser Because of Franchisee ($1,500 above)

- Remote staffs and managers from Franchiser for supporting.
- Training

- Franchisee cannot make other types of services out of scope of Franchiser.
- All types of Revenues from Franchisee will share royalty to Franchiser.
